While 2025&nbsp;hasn\u2019t&nbsp;brought fireworks, Colao sees foundations being laid for&nbsp;a&nbsp;meaningful recovery heading into 2026.&nbsp;&nbsp;<\/p>\n\n\n\n<p>\u201cA lot is happening behind the scenes,\u201d Colao noted. \u201cBy year\u2019s end, I expect some exciting announcements that will build real momentum.\u201d&nbsp;<\/p>\n\n\n\n<p>From seasoned EBITDA to insurance reform, here are the <a href=\"https:\/\/www.planetdds.com\/newsroom\/2025-dental-industry-outlook-reveals-key-trends-for-dsos-and-multi-location-practices\/\" target=\"_blank\" data-type=\"newsroom\" data-id=\"14395\" rel=\"noreferrer noopener\">key trends<\/a> shaping the dental&nbsp;industry.&nbsp;<\/p>\n\n\n\n<div class=\"wp-block-buttons is-content-justification-center is-layout-flex wp-container-core-buttons-is-layout-16018d1d wp-block-buttons-is-layout-flex\">\n<div class=\"wp-block-button\"><a class=\"wp-block-button__link wp-element-button\" href=\"https:\/\/www.planetdds.com\/webinars\/all-things-dso-episode-13\/\" target=\"_blank\" rel=\"noreferrer noopener\">Watch the Webinar<\/a><\/div>\n<\/div>\n\n\n\n<h2 class=\"wp-block-heading\">Interest Rate Relief: A Turning Point for M&amp;A?&nbsp;<\/h2>\n\n\n\n<p>Just one day before the&nbsp;webinar, Federal Reserve Chair <a href=\"https:\/\/www.federalreserve.gov\/aboutthefed\/bios\/board\/powell.htm\" target=\"_blank\" rel=\"noreferrer noopener\">Jerome Powell<\/a> hinted at&nbsp;additional&nbsp;rate cuts before year-end. Colao&nbsp;didn\u2019t&nbsp;mince words: \u201cI\u2019d be shocked if we don\u2019t see two more cuts.\u201d Taken together with&nbsp;previous&nbsp;reductions, he believes&nbsp;we\u2019re&nbsp;nearing a more favorable financing environment, which is much-needed&nbsp;fuel for stalled deals.&nbsp;<\/p>\n\n\n\n<p>While 2025 may still feel tepid, Colao predicts 2026 will&nbsp;benefit&nbsp;from a more liquid M&amp;A market: \u201cSlow and steady wins the race.&nbsp;I\u2019m&nbsp;very optimistic&nbsp;about next year.\u201d&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Consolidation&nbsp;Picks Up&nbsp;<\/h2>\n\n\n\n<p><a href=\"https:\/\/heartland.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">Heartland Dental<\/a>\u2019s acquisition of <a href=\"https:\/\/www.thesmiledesign.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">Smile Design Dentistry<\/a>, a dental group based in Florida with about 60 locations,&nbsp;captured industry attention.&nbsp;Colao emphasized this&nbsp;wasn\u2019t&nbsp;an isolated move, but&nbsp;the re-start&nbsp;of a trend temporarily paused by market conditions.&nbsp;<\/p>\n\n\n\n<p>\u201cWe\u2019ve always known the big DSOs wouldn\u2019t just acquire&nbsp;groups with just one or two&nbsp;practices,\u201d Colao said. \u201cThey\u2019re&nbsp;also targeting mid-market platforms&nbsp;with&nbsp;25, 40, and 70 locations. Heartland is disciplined. If it makes sense,&nbsp;they\u2019ll&nbsp;move.\u201d&nbsp;<\/p>\n\n\n\n<p>&#8220;Expect more large-scale consolidations as well-capitalized groups&nbsp;seek&nbsp;strategic opportunities,&#8221; said Colao said.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Centralization and Cutbacks: The Post-Merger Reality&nbsp;<\/h2>\n\n\n\n<p>One audience question cut to the operational heart of consolidation:&nbsp;&#8220;What happens to centralized services and executive roles during mergers?&#8221;&nbsp;<\/p>\n\n\n\n<p>Colao\u2019s answer was blunt but realistic. When a larger DSO&nbsp;acquires&nbsp;a smaller one, \u201cYou cut as much overhead as possible,\u201d revealed Colao. He shared an example of a 30-location group with $5 million in corporate overhead,&nbsp;nearly all&nbsp;of which was&nbsp;eliminated&nbsp;post-acquisition. While the practice-level teams typically&nbsp;remain&nbsp;intact, the back-office infrastructure is often absorbed, instantly supercharging EBITDA.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Deal Drag: Why Some DSOs Aren\u2019t Closing<\/h2>\n\n\n\n<p>Not all deals are moving forward. Key reasons include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Interest rate uncertainty<\/strong>: Even with expected cuts, rates&nbsp;remain&nbsp;a drag on large transactions.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Unsustainable or \u201cseasoned\u201d EBITDA<\/strong>: Buyers are scrutinizing whether earnings are repeatable, not just historical.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Technology fragmentation<\/strong>: Multiple practice management systems can hurt valuation. \u201cIf you&#8217;re using three PMS platforms, some buyers immediately discount or walk away,\u201d&nbsp;explained Colao.<\/li>\n<\/ul>\n\n\n\n<p>A lack of data cohesion and system consolidation&nbsp;also&nbsp;can&nbsp;make some investors hesitate or abandon a deal.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Public Market Activity: A Sign of Maturity&nbsp;<\/h2>\n\n\n\n<p>In Canada,&nbsp;<a href=\"https:\/\/www.gtcr.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">GTCR<\/a>\u2019s acquisition of&nbsp;<a href=\"https:\/\/www.dentalcorp.ca\/\" target=\"_blank\" rel=\"noreferrer noopener\">Dentalcorp<\/a>&nbsp;marked one of the year\u2019s most notable transactions. Colao applauded the move, noting that exiting public markets gives&nbsp;Dentalcorp&nbsp;more strategic freedom.&nbsp;<\/p>\n\n\n\n<p>In the U.S., <a href=\"https:\/\/parkdentalpartners.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">Park Dental Partners<\/a>\u2019 recent IPO,&nbsp;a&nbsp;relatively small&nbsp;$20 million raise,&nbsp;signals that public offerings&nbsp;aren\u2019t&nbsp;reserved solely for billion-dollar DSOs. Still, Colao expects the next wave of IPOs&nbsp;will come&nbsp;from the largest companies in the sector.&nbsp;<\/p>\n\n\n\n<p>\u201cWith massive platforms,&nbsp;there\u2019s&nbsp;only so long you can grow privately. Going public becomes the logical&nbsp;option,\u201d&nbsp;said Colao.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Regulatory Pressure and Insurance Reform&nbsp;<\/h2>\n\n\n\n<p>Both the ADA and ADSO have driven unprecedented progress in dental insurance legislation:&nbsp;Thirty-seven reforms passed in 2025 alone. Two areas dominate:&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Medical loss ratios (MLRs)<\/strong>: This requires&nbsp;insurers to prove&nbsp;dollars&nbsp;flow to patient care, not overhead.&nbsp;<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Virtual credit card rules<\/strong>: Mandates&nbsp;opt-in rather than default enrollment to avoid hidden merchant fees.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p>AI regulation is&nbsp;emerging&nbsp;too, particularly&nbsp;regarding&nbsp;payer-side adjudication. While Colao supports AI in clinical decision support, he cautioned strongly against insurers using AI to&nbsp;identify&nbsp;claim&nbsp;denials.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Same-Store Growth: What Investors Really Want&nbsp;<\/h2>\n\n\n\n<p>Investors no longer reward expansion alone.&nbsp;They\u2019re&nbsp;examining same-store performance within the past 12 to 24 months, not&nbsp;data from five years ago.&nbsp;According to Colao,&nbsp;investors&nbsp;look for growth across three&nbsp;levers:&nbsp;<\/p>\n\n\n\n<ol start=\"1\" class=\"wp-block-list\">\n<li><strong>New patients\u00a0<\/strong><\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li><strong>More services per patient<\/strong>\u00a0(for\u00a0example:\u00a0ortho, whitening, implants)\u00a0<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li><strong>Overhead reductions<\/strong> and operational efficiency\u00a0<\/li>\n<\/ol>\n\n\n\n<p>\u201cIf you\u2019re thriving in difficult times like 2023 through 2025,&nbsp;that\u2019s what excites investors,\u201d Colao said.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Bank Financing: Easier for Smaller, Founder-Led Groups&nbsp;<\/h2>\n\n\n\n<p>Interestingly, smaller doctor-owned groups with personal guarantees still attract favorable lending terms. The challenge lies with mid-size DSOs that&nbsp;don\u2019t&nbsp;want to provide&nbsp;personal guarantees but&nbsp;haven\u2019t&nbsp;reached top-tier performance.&nbsp;<\/p>\n\n\n\n<p>\u201cBanks know they can\u2019t liquidate a DSO like a house,\u201d Colao warned. \u201cIf leadership falters, it\u2019s a two-year recovery.\u201d&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Is Now the Time to Sell?&nbsp;<\/h2>\n\n\n\n<p>\u201cIt depends,\u201d Colao reiterated about when to sell. &#8220;If your&nbsp;payer&nbsp;mix is healthy, culture strong, technology unified, and growth story compelling, 2026 may be ideal. If not, reinvest in operational readiness.&#8221;&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Looking Ahead to 2026&nbsp;<\/h2>\n\n\n\n<p>Colao summed it up with cautious optimism: \u201cWe may not set records, but&nbsp;I\u2019m&nbsp;very optimistic. I could see a huge comeback if conditions align. But more likely,&nbsp;we\u2019ll&nbsp;see steady, sustainable&nbsp;improvement.\u201d&nbsp;<\/p>\n\n\n\n<p>The industry&nbsp;is rebuilding,&nbsp;not retreating.
